Licensing, assignment and technology transfer

Introduction

Turning intellectual property into revenue and partnerships through licences, assignments and technology transfer, on terms that keep control where it belongs.

A licence lets others use a right while the owner keeps it; an assignment transfers ownership outright. Both need careful drafting on scope, territory, exclusivity, quality control, payment and what happens to improvements, and many must be recorded with the Saudi Authority for Intellectual Property to take effect against third parties.

Ownership must also be clear inside the company. Founders, employees and contractors often create the most valuable assets, so we put assignment and confidentiality terms in place early, in line with the new Copyright Law's rules on works made by employees and on commission.

For technology transfer into the Kingdom, often linked to localisation and local content, we draft the licence, the know-how and training package and the payment terms, taking account of withholding tax on royalties paid abroad.
