IP due diligence and valuation
Introduction
Confirming what intellectual property a company really owns, what it is worth and what risks come with it, before a deal or a financing.
In technology, brand and media businesses, intellectual property is often most of the value. Due diligence confirms that the target owns what it uses: registrations in its own name, assignments from founders, employees and developers, licences that survive a change of control, and no open infringement claims.
For software we also look at source code ownership, open source licences and data rights. Our findings feed directly into the price, the warranties and indemnities, and the conditions to be met before completion.
Valuation turns IP into a figure that lenders, investors and courts can use. We work with accredited valuers on valuations for transactions, disputes and financing, including loans secured by a pledge of intellectual property under the Commercial Pledge Law.
