Corporate and director criminal liability
Introduction
Defining when a company, its board members and its executives can be criminally liable, and defending them when they are accused.
Several Saudi laws impose criminal liability on companies as well as individuals. The Anti-Money Laundering Law, the Anti-Bribery Law and the Anti-Concealment Law provide for fines and other sanctions against companies, while the Companies Law punishes managers and directors for acts such as false statements in financial statements and the distribution of fictitious profits.
For directors, the line between a poor business decision and a crime can seem thin. We advise boards and executives on their personal exposure, on the decisions and records that protect them, and on how compliance programmes and delegation affect who is held responsible.
When charges are brought, we represent the company and the individuals concerned before the Public Prosecution and the criminal courts, managing any conflict between their positions.
