Choosing the right legal vehicle

Introduction

Matching the company form to the plan behind it: who owns it, who runs it, how it will be funded and how investors may one day exit.

The Companies Law offers several forms, each with its own rules on liability, capital, management and the transfer of shares. A limited liability company suits most private and family businesses, a joint stock company suits larger groups and future listings, and the simplified joint stock company introduced in 2023 gives startups and investors flexible share classes with lighter formalities.

For foreign investors, the choice also covers whether to operate through a Saudi company, a branch of the foreign parent or a regional headquarters, and how ownership affects zakat and income tax: the share of Saudi and GCC owners is subject to zakat, while foreign owners' share of the profit is subject to income tax.

We look at the business plan first: the activity and its licences, the partners and their roles, the funding expected and the exit investors will want. Then we recommend the vehicle, the capital and the governance that fit, so the structure does not have to be rebuilt when the business grows.
