Holding and group structures
Introduction
Governing a group as one business: the holding company, its subsidiaries and the rules that connect them.
As groups grow, decisions spread across many companies, boards and managers. Without a group framework, the holding company can lose sight of the risk in its subsidiaries, while the subsidiaries wait for approvals they do not need.
We design group governance that sets out what the holding company decides, what each subsidiary board decides and how information flows between them: group policies, the composition of subsidiary boards, intra-group agreements and a group delegation of authority.
Structure matters too. We advise on forming the holding company and moving businesses under it, separating assets and liabilities between entities, and the related party rules that apply when group companies deal with each other.
