Family constitutions and family councils
Introduction
Written rules for how a business family owns, governs and works in its companies, and the family bodies that apply them.
Saudi law gives the family charter binding force. Under Article 11 of the Companies Law, partners or shareholders can agree a charter covering the family's ownership, governance and management, the employment of family members, dividends, the disposal of shares and the settlement of disputes, and the charter may form part of the company's articles.
A constitution needs bodies that apply it. We set up family assemblies, family councils and their committees, with clear rules on membership, meetings and decisions and on how they relate to the board, so family matters stay with the family and business matters stay with the business.
We draft through conversation, not templates. We meet the generations, understand where they agree and where they do not, and turn those discussions into rules the family can accept and the company can apply.
