Technology, cloud and data processing contracts

Introduction

Drafting and negotiating the contracts technology runs on: development, licensing, software as a service, cloud and data processing.

Technology contracts decide who owns what is built, what service level is promised and what happens when systems fail or the relationship ends. Under the new Copyright Law, commissioned works stay with the author unless the contract says otherwise, so development agreements must transfer ownership expressly.

Cloud and outsourcing contracts carry regulatory terms too. The Communications, Space and Technology Commission regulates cloud services, government and regulated sectors have rules on where data may be hosted, and the Personal Data Protection Law requires a written agreement with every processor of personal data.

We act for customers and suppliers on development, licensing, SaaS, cloud, systems integration and data processing agreements, focusing on ownership, service levels, liability, data protection, security and exit.
