Mergers, acquisitions and disposals
Introduction
Buying, selling and combining businesses, from structure and approvals to signing, completion and what follows.
Every transaction starts with structure: a purchase of shares or of assets, a statutory merger under the Companies Law, or a staged entry with options to increase. The choice affects liabilities, approvals, zakat and tax, employees and contracts, and how quickly the deal can close.
Approvals often set the timetable. Deals that meet the turnover thresholds need clearance from the General Authority for Competition before completion, listed targets bring in the Capital Market Authority's merger and acquisition rules, and regulated sectors need their regulator's consent to a change of control.
We act for buyers, sellers and investors from the term sheet through due diligence, the share or asset purchase agreement and completion, and on the integration and governance of the business afterwards.
